1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "Customer"), and Nexxel Digital ("Nexxel Digital," "we," "us," or "our"), concerning your access to and use of the https://nexxeldigital.com/ website, as well as our proprietary software products, SaaS applications (such as Servexa), APIs, documentation, and related services (collectively, the "Platforms" or "Services").

By accessing the website, registering for an account, or participating in Early Access programs for any of our SaaS products, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the Platforms and must discontinue use immediately.

2. Proprietary Software & Intellectual Property

Unless otherwise indicated, the Platforms and all related source code, databases, software architectures, algorithms, APIs, visual user interfaces, website designs, audio, video, text, documentation, and graphics (collectively, the "Content"), along with trademarks, service marks, and logos contained therein (the "Marks"), are our proprietary property and are protected by copyright, trademark, and trade secret laws.

Nexxel Digital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platforms solely for your internal business operations in accordance with these Terms and applicable subscription or Early Access terms. You shall not license, sublicense, sell, resell, transfer, assign, distribute, reverse-engineer, decompile, or otherwise commercially exploit our software.

3. User Accounts & Early Access Onboarding

When you create an account, register an organization, or apply for Early Access to our SaaS products (such as Servexa), you represent and warrant that:

All registration and business information you submit is accurate, current, and complete.
You will maintain the accuracy of this information and promptly update account records as needed.
You have the legal authority to bind the organization or business entity on whose behalf you are registering.
You will maintain the confidentiality of your workspace credentials and authentication tokens, and you accept responsibility for all activities that occur under your account.
Your use of our Platforms does not violate any applicable local, national, or international law.

4. Customer Data & Tenant Ownership

As between you and Nexxel Digital, you retain all ownership, rights, and title to your operational data, client records, appointment logs, invoice attachments, and business assets entered into our SaaS platforms ("Customer Data").

You grant Nexxel Digital a limited license to host, process, and transmit Customer Data strictly to the extent necessary to provide, maintain, and secure the Platforms for your workspace. We will never sell, rent, or monetize your Customer Data, nor will we use your Customer Data to train public AI models.

5. Prohibited Activities

You may not access or use the Platforms for any purpose other than that for which Nexxel Digital makes them available. You agree not to:

Systematically scrape, harvest, or crawl data or content from the website or Platforms to compile any database, directory, or competing software product without express written consent.
Attempt to bypass, disable, probe, or circumvent any security measures, authentication flows, or tenant isolation mechanisms (including Row-Level Security).
Decompile, disassemble, decipher, or reverse-engineer any portion of the software comprising the Platforms.
Use our SaaS platforms to transmit spam, unsolicited commercial messages, malicious code, trojan horses, or harmful payloads.
Impose an unreasonable or disproportionately large load on our infrastructure or interfere with the operational integrity of other tenant workspaces.

6. Submissions & Feedback

You acknowledge and agree that any questions, comments, suggestions, feature ideas, or feedback regarding our SaaS products or website ("Submissions") provided by you to Nexxel Digital are non-confidential and shall become the sole property of Nexxel Digital. We shall own exclusive rights, including all intellectual property rights, and may use and disseminate Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

7. Platform Availability & Modifications

We reserve the right to change, modify, update, or remove features from our software products at any time to enhance performance, bolster security, or introduce new capabilities. While we strive to maintain high uptime, we do not guarantee uninterrupted or error-free access at all times. Planned maintenance windows, cloud provider outages, or emergency security patches may cause temporary service interruptions.

8. Disclaimer of Warranties

THE PLATFORMS AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORMS WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORMS AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitations of Liability

IN NO EVENT WILL NEXXEL DIGITAL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR SYSTEM DOWNTIME ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
